Terms and Conditions

These Terms of Service ("Terms") are an agreement between Galvano, Inc. ("Galvano", "we", "us") and the person or company using our services ("you" or "Customer").
These Terms apply to your use of galvano.ai, app.galvano.ai, our APIs, software, documentation, and related services (the "Service").
By creating an account or using the Service, you agree to these Terms.
If you use Galvano on behalf of a company, you confirm that you have authority to accept these Terms on its behalf.
1. The Service
Galvano is an AI-assisted electronics design platform. It can generate and help you work with electronic schematics, block diagrams, component selections, bills of materials, verification reports, and related engineering outputs.
We may improve, change, add, or remove features over time. If we materially reduce the core functionality of a paid plan, we will provide reasonable notice.
2. Accounts
You must be at least 18 years old and able to enter into a binding agreement.
You are responsible for keeping your login details secure and for activity under your account. If you believe your account has been compromised, contact us at support@galvano.ai.
You agree to provide accurate account and billing information.
If your account belongs to an organization, its administrators may manage users, seats, and workspace data.
3. Your Content and Designs
"Customer Content" means information you provide to Galvano, including prompts, requirements, schematics, netlists, datasheets, documents, component lists, and other files.
"Output" means designs, schematics, diagrams, BOMs, reports, and other results generated by the Service from your Customer Content.
3.1 You own your designs
You retain ownership of your Customer Content and Output.
Galvano does not claim ownership of the designs you create using the Service.
You give us permission to process, store, transmit, and otherwise use your Customer Content and Output only as needed to provide, secure, maintain, and support the Service.
3.2 Your responsibilities
You must have the legal right to upload any information or documents you provide to the Service.
You must not upload content that violates another party's intellectual-property rights, confidentiality obligations, or applicable laws.
3.3 Confidentiality and security
We treat Customer Content and Output as confidential information.
We may share it only with service providers that need it to operate Galvano and are subject to confidentiality obligations, where required by law, or when you instruct us to do so.
We use reasonable technical measures to protect customer data, including encryption in transit and at rest.
When you delete data, we will remove it from our production systems and from backups according to our normal backup-retention process.
4. Galvano Intellectual Property
Galvano owns the Service and the technology behind it, including our software, models, algorithms, design engines, component and symbol libraries, templates, documentation, interfaces, and improvements.
Using Galvano does not transfer ownership of this technology to you.
We give you a limited right to use the Service for your business purposes while your account or subscription remains active.
If you provide suggestions or feedback about Galvano, we may use that feedback without restriction. Your Customer Content and Output are not considered feedback.
Component information, datasheets, pricing, and other third-party data may come from manufacturers, distributors, or other providers. We do not guarantee that this information is complete, accurate, or up to date.
5. Acceptable Use
You may not:
- use the Service in violation of applicable law;
- reverse engineer or attempt to extract our source code, models, prompts, or model weights;
- resell, sublicense, rent, or provide the Service to third parties without our permission;
- use the Service to create a competing product;
- exceed documented API or usage limits using automated tools;
- bypass or interfere with security measures;
- upload malware or unlawful or infringing content;
- access or attempt to access another customer's data; or
- use the Service to create unlawful weapons or other products primarily intended to harm people.
We may suspend access if we reasonably believe your use creates a security, legal, or operational risk.
Where practical, we will notify you and give you an opportunity to resolve the issue.
6. Engineering Responsibility and Safety
Galvano is an engineering tool, not a substitute for professional engineering review.
AI-generated Output may contain errors, omissions, incorrect component information, unsafe circuit choices, or incorrect verification results.
You are responsible for reviewing, testing, validating, and certifying every design before manufacturing, selling, or deploying it.
Galvano verification tools and reports are intended to assist engineers. They do not replace simulation, prototyping, testing, compliance review, or professional engineering judgment.
6.1 High-risk applications
Galvano is not designed or certified for applications where failure could reasonably result in death, serious injury, or severe environmental or physical damage.
Examples include life-support systems, certain medical devices, nuclear systems, aviation safety systems, automotive safety systems, and weapons.
If you use Galvano Output in these applications, you do so at your own risk and are responsible for the additional engineering, regulatory, redundancy, and qualification processes required.
6.2 Regulatory compliance
You are responsible for ensuring that products based on Galvano Output comply with applicable laws, regulations, certifications, and industry standards, including requirements such as CE, FCC, UL, RoHS, ISO, and IEC where applicable.
7. Plans, Fees, and Payment
You agree to pay the fees shown when purchasing a plan or included in an Order Form.
Fees are stated in [USD] unless otherwise specified and do not include applicable taxes.
Subscriptions may be billed monthly or annually and automatically renew unless cancelled before the next renewal date.
Usage-based fees, where applicable, may be billed separately.
You are responsible for applicable sales, VAT, GST, withholding, and similar taxes, other than taxes on Galvano's income.
We may change our prices by giving at least [30] days' notice. New prices will apply from your next renewal.
Except where required by law or agreed otherwise in writing, payments are non-refundable.
We may offer free plans or trials with limited features, usage, or storage. We may modify or discontinue them at any time.
8. Third-Party Services
Galvano may integrate with third-party services such as EDA software, component suppliers, cloud providers, and AI providers.
Those services are governed by their own terms.
We are not responsible for third-party services, and integrations may change or become unavailable if those providers change their products or policies.
9. Beta Features
Some features may be marked beta, preview, experimental, or similar.
These features may be changed or removed at any time and are provided without service-level commitments.
10. Warranties
We will use reasonable efforts to provide the Service substantially as described in our documentation.
If a paid feature materially fails to operate as described, we will try to correct the problem. If we cannot reasonably do so, we may terminate the affected subscription and refund prepaid fees for the unused portion.
Except for this limited commitment, the Service and Output are provided "as is" and "as available".
To the extent permitted by law, we do not guarantee that the Service or Output will be error-free, uninterrupted, accurate, complete, safe, manufacturable, suitable for a particular purpose, or free of third-party intellectual-property claims.
11. Cancellation and Termination
You may cancel your subscription at any time through your account or by contacting support@galvano.ai.
Unless otherwise stated, cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account:
- with [30] days' notice for business or operational reasons;
- if you materially breach these Terms and do not correct the breach within [15] days after notice;
- immediately where the breach cannot reasonably be corrected; or
- where required by law.
If we terminate a prepaid subscription for business reasons unrelated to your breach, we will refund the unused prepaid portion.
After termination, your right to use the Service ends.
For [30] days following termination, we may allow you to export your Customer Content and Output. After that period, we may delete the data from our production systems and subsequently from backups, unless the law requires us to retain it.
12. Indemnification
You agree to protect and compensate Galvano against third-party claims resulting from:
- Customer Content you provide;
- products you manufacture or sell using Galvano Output;
- your unlawful or unauthorized use of the Service; or
- your use of Output in high-risk applications.
Galvano will defend you against third-party claims alleging that the Galvano Service itself infringes intellectual-property rights, except where the claim results from Customer Content, Output, third-party services, modifications made by you, combinations with systems we did not provide, or use that violates these Terms.
If such a claim occurs, we may modify the Service, obtain the necessary rights, or terminate the affected subscription and refund the unused prepaid portion.
13. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages.
This includes loss of profits, revenue, business, goodwill, or data, as well as manufacturing rework, product respins, or product recalls.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Before beginning formal legal proceedings, both parties agree to try in good faith to resolve the dispute through discussion for at least [30] days after written notice.
If the dispute cannot be resolved, it will be handled exclusively by the state or federal courts located in Delaware, and both parties agree to their jurisdiction.
Either party may seek urgent court relief where necessary to protect intellectual property or confidential information.
15. General Terms
We may update these Terms from time to time.
For material changes, we will provide reasonable notice by email, through the Service, or on our website. Continued use after the updated Terms take effect means you accept them.
These Terms, our Privacy Policy, and any applicable Order Form or Data Processing Addendum form the complete agreement between you and Galvano regarding the Service.
If there is a conflict, an Order Form takes priority over these Terms. A signed Data Processing Addendum takes priority for data-protection matters.
Neither party may transfer these Terms except as permitted in connection with a merger, acquisition, corporate restructuring, or sale of substantially all relevant assets, or with the other party's consent.
You must comply with applicable export-control and sanctions laws.
We may identify you publicly as a Galvano customer only with your prior written permission.
Neither party is responsible for delays caused by events outside its reasonable control, except for payment obligations.
If any part of these Terms is found unenforceable, the remaining provisions will continue to apply.
Nothing in these Terms creates a partnership, agency, employment, or joint-venture relationship between you and Galvano.
